Terms and Conditions

These Terms and Conditions ("Agreement") govern your use of services provided by Dectox IT Solutions. By entering into a service agreement with us, you ("Client") agree to comply with these terms to ensure mutual understanding and successful project completion.

1. Project Scope and Deliverables

At the start of every project, Dectox IT Solutions will provide a detailed scope of work, including all deliverables, timelines, and milestones. The project will be divided into key phases (milestones) to ensure transparency and track progress, including:

1.2 Prototype or Design Finalization

1.3 Development Phase

1.4 Final Testing and Deployment

2. Payment Terms

Dectox IT Solutions follows a milestone-based payment structure to ensure transparency and financial security for both parties. Payment terms are as follows:

2.1 20% of the total project cost will be payable after the completion and approval of the initial project planning phase. This includes finalizing the scope of work, pricing, and work quotation.

2.2 20% of the total project cost will be payable upon design or prototype finalization and approval from the client.

2.3 30% of the total project cost will be payable after the development phase is completed and delivered for client review.

2.4 The remaining 30% balance will be payable after final testing and deployment of the project.

3. Invoicing and Billing

All invoices will be shared with the client via our official email account, connect@dectox.com. Clients are expected to make the payments within seven days of receiving the invoice to avoid delays in the project timeline.

To ensure secure and accurate transactions, billing and account details will be communicated directly from our official email accounts. Dectox IT Solutions is not responsible for transactions completed to any party outside these designated email communications.

4. Changes to Scope or Additional Work

If additional work is requested outside the project's original scope, it will be considered a scope change. Such changes require a revised project plan and may affect the timeline and pricing. Any changes to the scope must be documented and approved by both parties. An estimate for additional costs will be provided before the new work begins. Any delay in approving scope changes or additional work may result in a delay in project completion.

5. Timeline and Delays

Dectox IT Solutions will make every effort to meet the agreed-upon project deadlines. However, the timeline depends on client cooperation, feedback, and timely payments.

5.1 Client Delays: If a client fails to provide necessary approvals, information, or materials in time, Dectox reserves the right to adjust the project timeline accordingly.

5.2 Project Delays Due to Non-Payment: Any delay in payment may result in a suspension of the project until the outstanding balance is cleared.

6. Client Responsibilities

To ensure smooth project execution, the client agrees to:

6.1 Provide timely and accurate feedback for each milestone and deliverable.

6.2 Supply any content, data, or materials required to complete the project.

6.3 Respond promptly to communications regarding the project status, changes, or queries.

6.4 Failure to provide the necessary feedback or information within five business days may delay the project timeline.

7. Intellectual Property

All intellectual property rights to the deliverables will be transferred to the client upon full payment for the project. Until full payment is made, Dectox IT Solutions retains ownership of all work produced, including designs, code, and content.

8. Confidentiality

Both Dectox IT Solutions and the client agree to maintain the confidentiality of all proprietary and sensitive information shared during the project. All client information, business data, and project details will remain confidential and will not be disclosed to any third party without prior consent. Dectox IT Solutions will also ensure that all employees or subcontractors working on the project adhere to these confidentiality standards.

9. Warranty and Support

After project deployment, Dectox IT Solutions will provide 30 days of complimentary support to address any project performance issues, bugs, or errors. This support period begins once the project is officially launched. Post-launch changes, additional features, or future maintenance work can be arranged under a separate service contract or maintenance agreement.

10. Complimentary Support

The following services are typically included in the complementary services:

10.1 Bug Fixes: Addressing any errors or issues in the website's functionality post-launch.

10.2 Performance Issues: Fine-tuning site performance, such as loading speed or optimization tweaks.

10.3 Minor Adjustments: Small content changes, layout adjustments, or UI/UX fixes.

10.4 Training or Handover: Providing documentation or training on website management for the client's team.

11. Complimentary Support Not Included

The following services are not included in the complementary services:

11.1 Major Feature Changes: Adding new features or substantial changes in design or functionality.

11.2 New Development: Any new functionality that wasn’t part of the original scope.

11.3 Ongoing Maintenance: Long-term maintenance services are usually offered as a separate paid service.

12. Termination

Either party may terminate the agreement if the other party breaches these terms. If the client terminates the project before completion, Dectox IT Solutions reserves the right to retain all payments made to date. Any work completed up to the termination point will be invoiced and delivered to the client.

13. Limitation of Liability

Dectox IT Solutions will not be held liable for:

13.1 Any indirect or consequential damages arising from delays, errors, or project failures caused by the client’s actions or omissions.

13.2 Any project delays caused by third-party vendors or unforeseen technical difficulties outside of Dectox’s control.

14. Governing Law

This agreement is governed by and construed following the laws of India. Any disputes arising from this contract shall be resolved in the appropriate court in Gurgaon, Haryana.

16. Changes to Terms

Dectox IT Solutions reserves the right to update these Terms and Conditions anytime. Clients will be notified of any changes to ensure mutual understanding.

By proceeding with the engagement of Dectox IT Solutions, you agree to these Terms and Conditions. We aim to deliver high-quality services while ensuring a smooth and professional project experience for all parties involved.
